Description Looking for a director with experience structuring and executing highly complex financial transactions including mergers and acquisitions and corporate restructurings for public and private corporations, domestically and cross-border. Candidate would be responsible for conducting due diligence, preparing fairness opinions and conducting complex financial analysis including valuation and post-merger/acquisition impact on credit risk. Candidate must have extensive financial modeling skills including, but not limited to, sensitivity analysis, accretion/dilution analysis, discounted cash flow analysis and comparable analysis. Experience analyzing corporate financial statements and balance sheets and monitoring industry trends and market conditions is essential. Associate directors must demonstrate an ability to assess capital structures and advise on potential accounting, tax issues and SEC disclosure requirements. Additionally, candidates must demonstrate an ability to develop and maintain relationships with key business leaders to identify new opportunities for advisory assignments. All applicants must demonstrate a proven history of leading projects, managing analysts and overseeing various workflows concurrently. Positive attitude and high energy will be essential for succeeding on our dynamic, fast paced team. Requirements Masters degree in Business Administration, Economics or Finance and two years of experience. Experience must include conducting financial research and analysis in support of domestic and international financial transactions including mergers and acquisitions; financial modeling to determine valuation; reviewing acquisition finance and post-merger/acquisition credit risk, analyzing corporate financial statements and balance sheets; identifying potential accounting and tax issues; and monitoring international market and industry trends and their effects on capital markets. Experience applying the above mentioned skills to media and telecommunications companies preferred.
